I should install the new creo 3.0 license on a machine where creo 2.0 is already present (out of maintenance)
do the installation directories overwrite or for the new installation create new ones?

you should by pass the manual license and drag the license file (right drag & drop of the license txt) into the license box and should be able to continue.

therefore with creo 3.0 (as for creo 2.0 and precedent) it is possible to have, through application to ptc, the license file in fomato txt I suppose

being different programs (it is not a "m" release of a product already in maintenance), you have to give the new license in txt, obviously free of charge if you are still in maintenance, but you can't install creo 3.0 with the txt license of 2.0.
